1. Who We Are

These Terms apply to your use of Noteroom services operated by Noteroom LTD.

By creating an account or using the service, you agree to these Terms.

2. Eligibility And Accounts

You must be at least the age of majority where you live and legally able to agree to these Terms. If you use Noteroom for an organization, you confirm you have authority to bind that organization.

You must provide accurate account information and keep credentials secure. You are responsible for activity under your account.

Accounts are personal to the registered user unless we agree otherwise in writing. You must not share login credentials, resell access, or bypass plan limits.

We may suspend or limit accounts for security issues, fraud risk, abuse, or Terms violations.

3. Acceptable Use

You must not use Noteroom to break laws, violate rights, distribute harmful or illegal content, or interfere with system integrity.

You must not attempt unauthorized access, scraping beyond allowed use, denial-of-service behavior, reverse engineering to copy core service functionality, or circumvention of technical restrictions.

You may not use the service if prohibited by applicable sanctions or export-control laws.

4. User Content

You retain ownership of your content. You grant Noteroom a limited license to host, process, transmit, and back up your content to provide the service.

You are responsible for the legality of uploaded content and permissions for collaborators you invite.

We may remove or restrict content that we reasonably believe violates law, third-party rights, or these Terms.

If we receive a credible intellectual property complaint, we may remove material and suspend repeat infringers.

5. Service License And Intellectual Property

Subject to these Terms, Noteroom grants you a limited, revocable, non-exclusive, non-transferable license to use the service for your internal use.

Except for your content, all service software, design, trademarks, and related intellectual property remain owned by Noteroom or its licensors. No rights are granted except as expressly stated here.

6. Plans, Automatic Renewal, And Billing

Paid plans are subscription-based and renew automatically each billing cycle unless canceled before renewal.

Recurring billing authorization is collected at checkout. Subscription management and cancellation are available through account settings and Stripe customer portal links.

7. Fees, Taxes, And Price Changes

Displayed prices may exclude taxes where applicable. You are responsible for taxes required by law.

We may update pricing with advance notice where legally required. Continued use after an effective date means acceptance of updated pricing.

8. Third-Party Services

Noteroom relies on third-party providers such as Supabase, Stripe, Google, and infrastructure vendors.

Third-party services are governed by their own terms and availability. We are not responsible for outages or policy changes by third parties beyond our legal obligations.

9. Service Availability And Changes

We may modify, improve, or retire features. We try to provide reasonable notice for material changes that affect paid subscriptions.

The service is provided on an "as is" and "as available" basis unless a separate written agreement states otherwise.

10. Suspension And Termination

You may stop using the service at any time. Account deletion and data export controls are available in the app.

We may suspend or terminate access for serious or repeated violations, fraud risk, legal requirements, or security threats.

11. Disclaimers And Limitation Of Liability

To the maximum extent permitted by law, Noteroom is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of data/profits/business opportunity.

To the extent permitted by law, Noteroom's total aggregate liability for claims arising from or related to the service is limited to the greater of GBP 100 or the amount you paid to Noteroom for the service in the 12 months before the event giving rise to liability.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Noteroom from losses, costs, and claims arising from your unlawful use of the service, your content, or your breach of these Terms.

13. Governing Law And Venue

These Terms are governed by the laws of England and Wales unless mandatory consumer law in your jurisdiction applies. Subject to that, disputes are resolved in the courts of England and Wales.

14. Changes And General Terms

We may update these Terms for legal, security, or service changes. For material changes, we will provide notice where required by law. Continued use after the effective date means acceptance of the updated Terms.

If any clause is unenforceable, the remaining clauses remain in effect. You may not assign these Terms without our written consent. We may assign these Terms as part of a merger, acquisition, or reorganization. Clauses that by nature should survive termination (including payment obligations, liability limits, indemnity, and dispute terms) survive.

Delays caused by events beyond reasonable control (for example major outages, force majeure events, or government actions) are not breaches to the extent caused by those events.
